Cloudflare sent shockwaves through the technology sector on May 7 when it announced plans to cut approximately 20% of its workforce, affecting roughly 1,100 employees, as part of a shift toward what the company calls an agentic AI-first operating model. The company's stock fell 23% on Friday following the earnings release and layoff announcement, even as Cloudflare reported a 34% year-over-year revenue increase.
The company estimates it will incur charges of $140 million to $150 million connected to the workforce reduction. Of that total, $105 million to $110 million covers cash expenditures including notice payments, severance payments, and employee benefits. The remaining $35 million to $40 million represents non-cash expenses tied to accelerated vesting of stock-based rewards for departing employees.
According to a report by Yahoo Finance, co-founder and CEO Matthew Prince was direct about the reasoning behind the move, drawing a sharp distinction between cost-cutting and transformation.
"This isn't a cost-cutting exercise or an assessment of individuals' performance," Prince said. "It's about defining how a world-class, high-growth company operates and creates value in the agentic AI era."
Prince pointed to a dramatic shift in employee productivity as a driver of the decision. Since late last year, he said, productivity among employees had increased 100 times over, comparing the change to "going from a manual to an electric screwdriver." He also noted that artificial intelligence has become deeply embedded in the company's daily operations.
"For team members in R&D, 97% use AI coding tools powered by the same Workers developer platform we ship to our customers," Prince said.
Investors, however, were not reassured. The 23% drop in share price reflects concern not just about the cost of the restructuring but also about the uncertainty surrounding whether the transformation will deliver the results Cloudflare is projecting. In its 10-Q filing, the company itself acknowledged that this evolution and automation may not achieve the benefits it expects within the expected time frame and could adversely affect the business.
The majority of restructuring charges are expected to be incurred by the end of Q2 2026. Cloudflare's plan to fully transition to an agentic AI operating model is targeted for completion by Q3 2026, though the company cautioned that actual costs may differ from initial estimates.
The announcement puts Cloudflare among a growing list of technology companies restructuring their workforces around artificial intelligence capabilities rather than traditional staffing models. The scale and speed of the shift drew attention across the sector, particularly given that the layoffs were framed not as a response to poor performance but as a deliberate redesign of how the company plans to operate going forward.
