The proposed merger between Paramount and Warner Bros. cleared its biggest legal obstacle on Friday. The Antitrust Division of the U.S. Department of Justice announced it completed its review of the deal and will not challenge it, according to IndieWire.

The DOJ statement went further than simply declining to block the merger. It concluded that combining two of Hollywood's largest legacy studios would actually improve competitive conditions across the media landscape. "The extensive investigatory record reviewed by the Division suggests that the impact of the transaction will be to increase competition across the media and entertainment ecosystem, with benefits for American consumers and workers," the statement read.

The department examined the deal across three major categories: streaming, linear television, and theatrical films. In all three areas, it found no grounds for concern about anticompetitive behavior.

On the streaming side, the DOJ focused on the relative weakness of both studios compared to dominant players in the market. The statement noted that Paramount+ and Warner Bros.' HBO Max and discovery+ have fewer subscribers than the three largest streamers. Combining them, the department concluded, would create a stronger alternative to Netflix rather than a threat to fair competition. "The combined firm is likely to increase competition by offering consumers a more robust competitive alternative to the larger SVOD offering," the statement read.

The department's statement also acknowledged the broader historical pattern of media mergers, cautioning that deals sometimes fail when the competitive logic does not align with market realities. "The legacy of these transactions illustrates the challenges that arise when the commercial rationale for a deal lacks clear alignment with competitive incentives of the acquiring firm or the competitive evolution of the marketplace," the statement read. "In technology-driven industries, the disruptors of the recent past may quickly become the entrenched monopolists of the present day."

No closing date for the merger has been publicly announced.
